Terms and Conditions

Welcome to SEObrain. These Terms and Conditions (“Terms”) govern your access to and use of the SEObrain platform, including the web application at app.seobrain.io, the marketing website at seobrain.io, all free SEO tools, APIs, integrations, and any related services (collectively, the “Platform”) operated by SEObrain (“we,” “us,” or “our”).
By creating an account, accessing the Platform, or using any of our services, you agree to be bound by these Terms. If you are using the Platform on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, please do not use the Platform.

1. Definitions
For the purposes of these Terms, the following definitions apply:
“Platform” means the SEObrain web application, website, APIs, free tools, and all related services.
“User” or “you” means any individual or entity that accesses or uses the Platform.
“Account” means the registered account you create to access paid features of the Platform.
“Content” means any text, articles, keywords, metadata, outlines, or other material generated, processed, or published through the Platform.
“AI-Generated Content” means any content produced by the Platform’s artificial intelligence models on your behalf.
“CMS Integration” means the connection between the Platform and third-party content management systems including WordPress, Webflow, Shopify, and Framer.
“Subscription” means a paid plan granting access to Platform features on a recurring billing basis.
“Free Tools” means the no-account-required AI-powered SEO tools available at seobrain.io/tools/.

2. Eligibility and Account Registration
2.1 Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this requirement and that all information you provide during registration is accurate, current, and complete.
2.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at contact@seobrain.io if you suspect unauthorized access to your account. We are not liable for any loss or damage arising from your failure to protect your login credentials.
2.3 Organizational Accounts
If you register on behalf of a company or organization, you represent that you have the legal authority to bind that entity to these Terms. The Ultimate plan supports up to 10 team seats; the administrator account holder is responsible for all activity conducted under the organization’s account.

3. Subscriptions, Billing, and Payments
3.1 Plan Overview
SEObrain offers the following subscription plans:
Starter: $19/month — 10 articles/month, 1 connected site, 1 language
Growth: $49/month — 30 articles/month, 1 connected site, 1 language
Ultimate: $99/month — 60 articles/month, 5 connected sites, 50+ languages, 10 team seats
Enterprise: Custom pricing — contact us at contact@seobrain.io
All plans include AI keyword research, CMS integration, AEO/GEO optimization, Google Search Console integration, and AI search engine analytics.
3.2 Billing Cycle
Subscriptions are billed on a monthly recurring basis from the date of initial purchase unless otherwise agreed. All fees are stated in US dollars and are exclusive of applicable taxes. You authorize us to charge your payment method on file at the start of each billing cycle.
3.3 Article Limits
Article allowances reset at the start of each billing cycle. Unused articles do not roll over to subsequent periods. Exceeding the article limit on your plan will require an upgrade before additional content can be generated.
3.4 Upgrades and Downgrades
You may upgrade your plan at any time; the upgrade takes effect immediately and you will be charged a prorated amount for the remainder of the current billing cycle. Downgrades take effect at the start of the next billing cycle. Downgrading may result in loss of access to features or connected sites that exceed the lower plan’s limits.
3.5 Cancellation
You may cancel your subscription at any time through your account settings or by contacting contact@seobrain.io. Cancellation takes effect at the end of the current billing period. You will retain access to Platform features until the end of the paid period. We do not provide refunds for partial periods upon cancellation.
3.6 Refund Policy
All subscription fees are non-refundable except where required by applicable law or at our sole discretion. If you believe you were charged in error, contact us within 14 days of the charge at contact@seobrain.io and we will investigate.
3.7 Price Changes
We reserve the right to modify subscription pricing. We will provide at least 30 days’ notice of any price increase via email to your registered address. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.

4. Permitted Use and Restrictions
4.1 Permitted Use
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own legitimate business purposes, including generating, reviewing, and publishing SEO content to websites you own or manage.
4.2 Prohibited Activities
You agree not to use the Platform to:
Generate content that is defamatory, fraudulent, deceptive, or violates any applicable law or regulation
Produce spam, unsolicited bulk content, or content intended to manipulate search engines through deceptive means
Generate content that infringes the intellectual property rights of any third party
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform
Use the Platform to develop a competing service or product
Scrape, crawl, or systematically extract data from the Platform beyond normal use
Share account credentials with unauthorized third parties or exceed seat limits on your plan
Circumvent, disable, or interfere with security-related features of the Platform
Use the Platform in any manner that could damage, disable, overburden, or impair its infrastructure
Publish AI-Generated Content without any human review where doing so may cause harm (e.g., medical, legal, financial advice)

5. AI-Generated Content
5.1 Nature of AI Output
The Platform uses artificial intelligence to generate SEO content, keyword suggestions, outlines, meta descriptions, and related outputs. AI-Generated Content is produced algorithmically based on patterns in training data and your input instructions. It is not authored by a licensed professional.
5.2 Your Responsibility for Content
You are solely responsible for reviewing, editing, fact-checking, and approving all AI-Generated Content before publication. SEObrain strongly recommends implementing human editorial review workflows, particularly for content in regulated industries (healthcare, finance, legal) or content making factual claims, citing statistics, or providing advice.
As outlined in SEObrain’s published guidance on E-E-A-T compliance, AI-Generated Content may contain inaccuracies, hallucinations, outdated information, or content that does not reflect your brand voice. Publishing unreviewed AI content is at your own risk.
5.3 Automatic Publishing
The Platform offers automatic publishing to connected CMS platforms. When automatic publishing is enabled, content may go live on your website without further manual action from you. You acknowledge and accept full responsibility for content published via this feature. We recommend configuring approval gates within your account settings prior to enabling automatic publishing.
5.4 Ownership of AI-Generated Content
Subject to your compliance with these Terms and payment of applicable fees, any AI-Generated Content produced through your use of the Platform is assigned to you. We make no claim of ownership over content generated on your behalf. However, we reserve the right to use anonymized usage data and aggregated output patterns to improve the Platform.
5.5 No Guarantee of Results
SEObrain does not guarantee that AI-Generated Content will achieve specific search engine rankings, traffic levels, or business outcomes. SEO results depend on many factors outside our control including search engine algorithm changes, competitive dynamics, and website technical factors.

6. CMS Integrations and Third-Party Connections
6.1 Supported Integrations
The Platform currently supports native integrations with WordPress, Webflow, Shopify, Framer, and Google Search Console. Integration availability may change over time. We do not guarantee the permanent availability of any third-party integration.
6.2 Third-Party Platform Terms
Use of CMS integrations is subject to the terms of service of the respective third-party platforms. You are responsible for ensuring your use of connected platforms complies with their terms. SEObrain is not responsible for changes, outages, or policy updates from third-party platforms that affect integration functionality.
6.3 Credentials and Access
To enable CMS integrations, you may be required to provide API keys, authentication tokens, or login credentials for third-party platforms. You are responsible for the security of these credentials. We store integration credentials using industry-standard encryption and access them only to perform the publishing functions you authorize.
6.4 Google Search Console
Connecting Google Search Console grants SEObrain read access to your search performance data (rankings, impressions, clicks). We use this data solely to improve content recommendations and reporting within your account. We do not share your Search Console data with third parties.

7. Intellectual Property
7.1 Platform Ownership
The Platform, including its software, algorithms, user interface design, branding, and underlying technology, is owned by SEObrain and protected by applicable intellectual property laws. Nothing in these Terms transfers any Platform intellectual property rights to you.
7.2 Your Content
You retain ownership of any content, data, and materials you upload to or input into the Platform. By using the Platform, you grant us a limited, non-exclusive license to process your input data solely to provide the services described in these Terms.
7.3 Feedback
If you provide us with suggestions, feedback, or ideas regarding the Platform, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

8. Data, Privacy, and Security
8.1 Privacy Policy
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.
8.2 Data Security
We implement commercially reasonable technical and organizational security measures to protect your data. However, no internet-based service can guarantee absolute security. You acknowledge that you provide data to the Platform at your own risk.
8.3 Data Retention
We retain your account data and generated content for as long as your account is active. Upon account deletion or subscription cancellation, we will delete your data within 90 days, except where retention is required by applicable law.
8.4 Analytics Data
SEObrain collects and analyzes aggregated, anonymized usage data to improve Platform performance and features. This data does not identify individual users and may be used for any legitimate business purpose.

9. Free SEO Tools
SEObrain offers a suite of free AI-powered SEO tools at seobrain.io/tools/, including the Blog Outline Generator, Blog Keyword Generator, Content Brief Generator, Meta Description Generator, and AI Article Summarizer. These tools are provided on an “as is” basis with no warranty. No account is required to use the Free Tools.
Free Tool outputs are subject to the same AI content disclaimers in Section 5. You are responsible for reviewing all free tool outputs before use. We reserve the right to modify, limit, or discontinue free tools at any time without notice.

10. Disclaimers of Warranty
THE PLATFORM AND ALL CONTENT, TOOLS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEOBRAIN EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Platform will be uninterrupted, error-free, or free of viruses or harmful components
Warranties regarding the accuracy, completeness, or reliability of any AI-Generated Content
Warranties that the Platform will achieve any specific SEO results, rankings, or traffic outcomes

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEOBRAIN AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO SEOBRAIN IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

12. Indemnification
You agree to indemnify, defend, and hold harmless SEObrain and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of the Platform in violation of these Terms
Content you generate, approve, or publish through the Platform
Your violation of any third-party rights, including intellectual property rights
Your violation of any applicable law or regulation

13. Termination and Suspension
13.1 Termination by You
You may terminate your account at any time by cancelling your subscription and deleting your account through the Platform settings, or by contacting contact@seobrain.io. Termination does not entitle you to a refund for any unused portion of a paid billing period.
13.2 Termination by SEObrain
We reserve the right to suspend or terminate your account, with or without notice, if we determine in our sole discretion that you have violated these Terms, engaged in fraudulent activity, or used the Platform in a manner that causes harm to us, other users, or third parties.
13.3 Effect of Termination
Upon termination, your right to access the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 7, 10, 11, 12, and 15) shall survive.

14. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to your registered address and/or by displaying a prominent notice within the Platform at least 14 days before the changes take effect.
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must stop using the Platform and cancel your subscription before the effective date.

15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with applicable law. For Enterprise customers, governing law will be specified in the applicable Enterprise agreement.
15.2 Informal Resolution
Before initiating any formal dispute, you agree to first contact us at contact@seobrain.io and attempt to resolve the matter informally. We will make reasonable efforts to resolve any dispute within 30 days of receiving written notice.
15.3 Binding Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property or confidentiality.

16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and SEObrain with respect to your use of the Platform and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SEObrain.
16.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets without notice to you.
16.5 Force Majeure
SEObrain shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, internet outages, cyberattacks, changes in law, or third-party platform failures.
